This website is operated by Skin Soul Botanica, a brand of Skin Soul Rituals, LLC ("Skin Soul Botanica," "we," "us," or "our"). By visiting our site, purchasing from us, attending our markets, or engaging with our wholesale program, you agree to be bound by these Terms and Conditions. Last Updated: May 9, 2025.

01 Acceptance of Terms

By accessing skinsoulbotanica.com, placing an order, purchasing at a farmers market or retail location, or participating in our wholesale program, you confirm that you are at least 18 years of age and agree to be legally bound by these Terms. If you are under 18, you may only use this Site with the involvement and consent of a parent or legal guardian.

We reserve the right to update or modify these Terms at any time without prior notice. Continued use of the Site or Services after any changes constitutes acceptance of the updated Terms.

02 Products & Services

A. Handcrafted Small-Batch Products

All Skin Soul Botanica products are handcrafted in small batches. Minor variations in color, texture, or scent may occur between batches. These are a natural characteristic of botanical formulations and do not constitute a defect.

B. Product Descriptions & Accuracy

We make every effort to display our products accurately. We cannot guarantee that your device screen accurately reflects actual product colors. We reserve the right to correct errors, update product information, or discontinue products at any time without notice.

C. Pricing

All prices are listed in U.S. dollars and are subject to change without notice. If a pricing error is discovered after your order is placed, we will contact you before processing.

D. Availability

All products are offered subject to availability. We reserve the right to limit quantities, refuse orders, or discontinue any product at our sole discretion.

03 Orders & Payment

A. Order Processing

Orders are processed within 3–5 business days, excluding weekends and holidays. You will receive an email confirmation when your order is placed and tracking information once it ships.

B. Payment

We accept payment through Stripe, Square, PayPal, QuickBooks/Intuit, and ACH bank transfer. By submitting payment, you represent that you are authorized to use the payment method provided and authorize us to charge the full order amount. We do not store your full payment information — all payment data is handled by our processors.

C. Order Accuracy

You agree to provide accurate and complete information at checkout. We are not responsible for orders that cannot be delivered due to inaccurate information, including incorrect shipping addresses.

D. Right to Refuse or Cancel Orders

We reserve the right to refuse or cancel any order at our discretion. If your order is cancelled after payment, you will receive a full refund.

04 Shipping Policy

We ship within the United States only. Orders over $99 qualify for free standard shipping. We are not responsible for:

• Carrier delays beyond our control
• Packages delivered to an incorrect address provided by the customer
• Packages marked as delivered by the carrier but reported missing

For lost or significantly delayed packages, contact us at orders@skinsoulbotanica.com. We are not obligated to replace packages confirmed as delivered to the address provided.

05 All Sales Final — Return & Refund Policy

Due to the handcrafted, small-batch, and perishable nature of our skincare and botanical products, all sales are final. We do not accept returns, exchanges, or issue refunds based on personal preference, change of mind, or skin sensitivities.

A. Damaged or Incorrect Items

If your order arrives damaged or you receive an incorrect item, contact us at orders@skinsoulbotanica.com within 7 days of confirmed delivery. You must include your order number, a clear photo of the damaged or incorrect item, and a clear photo of the outer packaging. We will review your claim and, at our sole discretion, offer a replacement or store credit. Claims submitted after 7 days will not be considered.

B. Chargebacks & Payment Disputes

Filing a chargeback or payment dispute without first contacting us is a violation of these Terms. We maintain detailed records of all transactions, order confirmations, tracking information, and communications, which will be submitted to the payment processor or financial institution in response to any dispute.

If a chargeback is filed and we prevail, you agree to be responsible for any chargeback fees, administrative costs, or other expenses incurred by Skin Soul Botanica as a result. We reserve the right to refuse future orders from any customer who files a fraudulent or unwarranted chargeback.

C. Farmers Market & In-Person Sales

All sales made at farmers markets, pop-up events, or retail locations are final at the point of sale. No returns, exchanges, or refunds will be issued for in-person purchases. Please review product ingredients before purchasing if you have known sensitivities.

D. Wholesale Partner Purchases

All wholesale orders are final upon payment. No returns or exchanges are accepted. Wholesale partners are responsible for reviewing product ingredients and formulations prior to placing orders.

06 Product Use & Skin Sensitivity Disclaimer

Skin Soul Botanica products are formulated with natural and botanical ingredients. Natural does not mean reaction-free — individual skin responses vary and we cannot predict or guarantee how your skin will respond to any product.

By purchasing and using our products, you acknowledge and agree that:

• You are responsible for reviewing the full ingredient list before use
• You will perform a patch test before full application, particularly if you have known sensitivities or allergies
• You will discontinue use immediately and consult a healthcare provider if any adverse reaction occurs
• You will consult your physician before use if you are pregnant, breastfeeding, or on prescription medication
• Our products are not intended to diagnose, treat, cure, or prevent any disease or medical condition

Skin Soul Botanica shall not be liable for any adverse reactions, allergic responses, or skin conditions arising from use of our products, including reactions resulting from pre-existing sensitivities, failure to patch test, or use inconsistent with provided instructions.

07 Wholesale Program Terms

Participation in our wholesale program is subject to approval and governed by the terms of the Wholesale Agreement provided upon acceptance. The following conditions apply to all wholesale partners:

• Wholesale pricing is available to licensed estheticians and approved retail partners only
• Minimum order requirements apply as set forth in the current Wholesale Program document
• Partners may not resell products below the suggested retail price without written permission
• Partners are responsible for proper storage, handling, and representation of all products
• Partners may not make medical claims about products when reselling
• We reserve the right to terminate any wholesale relationship at our sole discretion

In the event of a conflict between these Terms and the Wholesale Agreement, the Wholesale Agreement shall govern for wholesale-specific matters.

08 Intellectual Property

All content associated with Skin Soul Botanica — including text, photographs, product names, logos, formulations, educational materials, and brand methodology ("Barrier First Skincare") — is the exclusive property of Skin Soul Rituals, LLC and is protected by U.S. copyright and trademark law. You may not reproduce, copy, republish, distribute, modify, or commercially exploit any content from this Site without our express written permission.

09 User Conduct

You agree not to use this Site or our Services for any unlawful purpose, to submit false or misleading information, to infringe our intellectual property, to introduce malware or harmful code, to harvest personal information of others, or to resell our products without written authorization. We reserve the right to terminate your access for any violation of these Terms.

10 Third-Party Links & Tools

Our Site may contain links to third-party websites or use third-party tools. These are provided for convenience only. We do not control or assume responsibility for any third-party content, services, or privacy practices. Your use of any third-party site is at your own risk.

You agree to indemnify, defend, and hold harmless Skin Soul Botanica and Skin Soul Rituals, LLC, including its members, officers, employees, and agents, from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your use of our products or Services, your violation of any applicable law, or any false or misleading information you provide to us.

14 SMS & Email Communications

By providing your email address, you agree to receive transactional communications related to your orders. Marketing emails are sent only to subscribers who have opted in. You may unsubscribe at any time via the link in any marketing email.

We do not currently offer SMS marketing. If we introduce an SMS program in the future, we will obtain your explicit opt-in consent before sending any marketing text messages, and you will always be able to opt out by replying STOP.

15 Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Tennessee, without regard to its conflict of law provisions.

Step 1 — Informal Resolution

In the event of any dispute arising out of or relating to these Terms, your purchase, or your use of our Site or Services, you agree to first contact us in writing at hello@skinsoulbotanica.com and allow 30 days for us to attempt to resolve the matter informally.

Step 2 — Mediation

If the dispute cannot be resolved informally, both parties agree to submit the dispute to non-binding mediation before a mutually agreed-upon mediator in Knox County, Tennessee prior to pursuing any further legal action. The party initiating the dispute shall be responsible for all mediation costs and fees.

Step 3 — Binding Arbitration

If mediation is unsuccessful, the dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with the arbitration conducted in Knox County, Tennessee. The arbitrator's decision shall be final and binding on both parties. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

16 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

17 Entire Agreement

These Terms, together with our Privacy Policy and Shipping & Return Policy, constitute the entire agreement between you and Skin Soul Botanica with respect to your use of our Site and Services, superseding any prior agreements or understandings. For wholesale partners, the Wholesale Agreement supplements these Terms and governs in the event of a conflict on wholesale-specific matters.
